Terms and Conditions

ISCs are solely responsible for reviewing, understanding, and agreeing to operate its business under the most current version of these Policies. When sponsoring a new ISC, the sponsoring ISC is solely responsible for ensuring the most updated version of these Policies is attached to the sponsored ISC’s ISC Agreement, and otherwise provided to the sponsored ISC prior to their execution of the ISC Agreement.

1.              DEFINITIONS.

  • Agreement” collectively refers to these Policies, the BWJ Network ISC Agreement,  and the Compensation Plan, as amended from time to time by BWJ Network (which BWJ Network may do in its sole discretion, as described herein).

  • BWJ Business Opportunity” refers to a membership as an independent travel agent affiliated with the travel agency BWJ Travel, LLC dba BWJ Travel (https://bwjtravel.com/)

  • “Compensation Plan” refers to https://bwjnetwork.com/compensation-plan

  • “Income Disclosure Statement”or “IDS” refers to the accurate, substantiated, and non-misleading income information statement provided by BWJ Network thatenables prospective and current ISCs to make informed decisions about their potential earnings and the risks involved.

  • “ISC” or “You” refers to the independent business, whether a limited liability company, corporation, partnership, or trust, that has executed an ISC Agreement with BWJ Network. Only a limited liability company, corporation, partnership, or trust may apply to be an BWJ Network ISC.

  • “ISC Application” refers to the application a prospective ISC must duly authorize and submit to BWJ Network and includes, without limitation, a certificate of good standing, and the prospective ISC’s certificate of incorporation/articles of organization (or the applicable equivalent), partnership agreement, or trust document, and any other corporate documents requested by BWJ Network.

  • "LOS Information” means information compiled by BWJ Network that discloses or relates to all or part of the specific arrangement of sponsorship within BWJ Network, including, without limitation, ISC lists, sponsorship trees, and all ISC information generated therefrom, in its present and future forms.

  • “BWJ Network” refers to BWJ Network LLC, a Nevada limited liability company.

  • “BWJ Network ISC Agreement” refers to the independent sales services agreement executed by and between you, as an ISC, and BWJ Network.

  • “ISC Website” refers to the website offered through BWJ Network or its approved website vendors, which must be used by ISC in accordance with the terms and conditions described herein. Except for the ISC Website, ISC may use no other websites in connection with its relationship with BWJ Network.

  • “Policies” refers to these policies and procedures, as amended from time to time at the sole discretion of BWJ Network. These Policies are incorporated into, and form an integral part of, the BWJ Network ISC Agreement.

2.              MODIFICATIONS TO THE AGREEMENT (INCLUDING THESE POLICIES). BWJ Network may amend the Agreement (including, without limitation, these Policies or the ISC Agreement, but excluding the dispute resolution procedures outlined herein or therein) in its sole discretion due to changes in laws or business conditions. Amendments will be communicated through posting on BWJ Network’s website, emails, newsletters, product inserts, or any other commercially reasonable method, and are effective as of the earliest such posting or publication. Your continued operation of an BWJ Network-affiliated business, or acceptance of any payments in connection with the Agreement, constitutes your acceptance of any such modifications. Continuing to operate an BWJ Network business or accepting bonuses and commissions constitutes acceptance of all amendments.

3.             FORCE MAJEURE.  BWJ Network shall not be responsible for delays or failures in performing its obligations when such performance is rendered commercially impracticable or impossible due to events beyond its reasonable control. These events include, but are not limited to, strikes, labor disputes, riots, war, fire, flood, death, curtailment of supply, government orders, acts of God, pandemics, terrorism, civil unrest, and any disruption (regardless of cause) of BWJ Network-provided software or services. The affected party shall notify the other party of the occurrence and use reasonable efforts to mitigate and resume performance as soon as possible.

4.              CONDITIONS ON BECOMING AN ISC-AFFILIATE OF BWJ NETWORK.  To become an BWJ Network ISC, each applicant must: (i)  be 18 years or older at the time the application properly completes and signs an ISC Agreement; (ii) properly complete and execute an ISC Agreement (electronically or otherwise); (iii) be a citizen of, and live full-time in, the United States or a country formally approved by BWJ Network; and (iv) have a valid Social Security Number (or the applicable equivalent if living in an approved country). Additionally, all ISCs must comply with BWJ Network’s privacy policy, available here: https://bwjnetwork.com/privacy-policy. Additionally, all ISCs must provide their social security number, federal EIN number, or other government-issued ID number to BWJ Network as part of the ISC Agreement and upon BWJ Network’s request therefor.

Once the above-described conditions are met, your ISC Agreement is accepted and approved by BWJ Network, and you receive your unique ISC ID number (which will be used to place orders and track commissions and bonuses), you shall have the right (i) to sell BWJ Network’s travel products and services and receive commission in connection with the same (subject to the terms of the Agreement); (ii) sponsor prospective ISCs and build out your business, and achieve higher earning potential in connection with the same; (iii) receive BWJ Network informational and educational materials to increase your knowledge of the travel industry, as well as other BWJ Network communications; and (iv) receive invitations to participate in certain BWJ Network sponsored functions or events. These rights do not apply if you are not in good standing under your applicable ISC Agreement.

5.              BUSINESS OPPORTUNITY DISCLOSURE STATEMENT. To comply with the Federal Trade Commission, applicable state and local regulations and the industry’s best practices, MLCo has created the IDS. All ISCs must ensure that a copy of the IDS must be presented to all prospective ISCs, and in particular, anytime the Compensation Plan is presented or discussed, or anytime any statement, claim or representation about income or earnings is made, including, without limitation: statements of average earnings; statements of non-average earnings; statements of earnings ranges; income or earnings testimonials; lifestyle claims; and hypothetical claims. Copies of the IDS may be printed or downloaded from BWJ Network’s website at https://bwjnetwork.com/income-disclosure. You are not entitled to sponsor a prospective ISC unless and until you provide said prospective ISC with the IDS.

6.              SPONSORING OF ISCs. Regarding sponsoring, all active ISCs in good standing have the right to sponsor and enroll others into BWJ Network. Each prospective customer or ISC has the ultimate right to choose his or her own sponsor. If two ISCs claim to be the sponsor of the same new ISC or customer, BWJ Network shall regard the first application received by the BWJ Network as controlling. Additionally:

  • Any ISC who sponsors another ISC must genuinely assist and train their downline to ensure proper operation of the BWJ Network business. Before a new ISC signs an agreement, the sponsor must provide the latest version of these Policies and Procedures, Income Disclosure Statement, and Compensation Plan.

  • ISCs must continually monitor their downline to prevent improper product or business claims and any unlawful or inappropriate behavior. Upon BWJ Network’s request, sponsors should provide documented proof of their ongoing training efforts.

  • ISCs must refrain from making negative or disparaging comments about BWJ Network, its products, Compensation Plan, leadership, officers, other ISCs, or its employees and contractors.

  • ISCs who observe policy violations by others must report them in writing to BWJ Network’s Compliance department with supporting evidence. Reports will be kept confidential.

  • ISCs may only contact BWJ Network’s suppliers or manufacturers at BWJ Network-sponsored events or with explicit written permission from BWJ Network. Direct or indirect unauthorized contact is prohibited.

7.              WEBSITES OF ISCs; PUBLIC STATEMENTS AND POSTS.

  • If an ISC desires to use an online website to market or promote ISC’s business, ISC may do so only via BWJ Network or its approved website vendors, and in accordance with the terms and conditions described herein. ISC shall ensure that all online marketing activities are truthful, not deceptive, and do not mislead customers or potential ISCs. Any websites, promotions, or tactics that mislead or deceive (regardless if intentional or not) are strictly prohibited. This includes, but is not limited to, falsely representing yourself as an authorized BWJ Network representative, spam linking or blog spam, unethical search engine optimization practices, misleading click-through ads (such as displaying a URL that appears to lead to BWJ Network’s official site but redirects elsewhere), unapproved banner ads, and unauthorized press releases. BWJ Network will determine, in its sole discretion,  whether specific activities are truthful or misleading and ISC must implement any requested changes to its website promptly following BWJ Network’s request therefore.

  • Additionally, TSC’s shall not use or register domain names, email addresses, other online aliases, or make any similar online representations, that could confuse or mislead individuals into believing they are affiliated with, or property of, BWJ Network. This includes any use that causes ISC’s communications —such as emails, websites, or social media accounts — to appear as if sent by BWJ Network. The use of “BWJ Network,” its derivatives, or similar marks in domain names, email addresses, or online aliases is strictly prohibited without BWJ Network’s authorization.  BWJ Network will determine, in its sole discretion,  whether or not ISC’s domain names, email addresses, online aliases, or similar online representations violate the provisions hereof and may require ISC to take immediate corrective actions in connection with the same. Please email support@bwjnetwork.com prior to your use if you have any questions regarding your domain names, email addresses, online aliases, or any other online representation.

  • ISCs may not advertise on or otherwise use any job posting websites, or sections of websites reserved for job postings (including, without limitation, Craigslist, ZipRecruiter, CareerBuilder, Monster, Indeed and LinkedIn Job Search), or use blind ads or any ads or websites (e.g., blogs, etc.) that make non-compliant product or income claims that are ultimately associated with BWJ Network or ISC’s business relationship with BWJ Network. ISC may use personal blogs or social media websites such as Facebook, X, Youtube, Tik Tok, and Instagram, provided, however, that (i) ISC shall not use these social media sites to sell or offer specific BWJ Network services; (ii) all social media or website profiles relating to ISC must clearly identify ISC as an Independent Sales Representative of BWJ Network; (iii) you shall not make any vulgar, indecent, immoral, unlawful, or inappropriate posts or comments, in any form (and BWJ Network’s decision as to what violates this provision shall be made in BWJ Network’s sole discretion); and (iv) you agree to only promote BWJ Network products, services, and business opportunity, and shall not share links or promote any other marketing or travel sales company. ISCs may also place banner advertisements on websites provided you use BWJ Network-approved templates and images and ensure the banner advertisement links solely to your ISC Website, and otherwise comply with the terms hereof.

  • ISC agrees to remove any website, page, post, group, etc. that BWJ Network deems non-compliant with these Policies (in BWJ Network’s sole discretion), promptly following BWJ Network’s request. ISCs may only appeal BWJ Network’s decision regarding compliance issues after the non-compliant material has been taken down. Appeals should be sent to support@bwjnetwork.com.

  • ISC agrees to indemnify, defend, release, and hold harmless BWJ Network and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, judgments, civil penalties, refunds, and court costs, arising out of or related to the ISC’s unauthorized representations or actions, including without limitation all verbal and written statements made regarding BWJ Network’s services and Compensation Plan that are not expressly authorized in official BWJ Network materials. This indemnification obligation shall survive the termination or cancellation of the ISC Agreement.

8.              ADVERTISED PRICES & TRAVEL PRODUCTS AND SERVICES. ISC may not advertise any BWJ Network travel products or services at a price below the highest BWJ Network-published price for the same service. Offering special promotions, such as free memberships or other benefits not available through BWJ Network, is prohibited. No claims, warranties, or representations as to any of the travel products or services offered by BWJ Network may be made, except those contained in official documentation or materials of BWJ Network.

9.              INTERACTIONS WITH, AND INQUIRIES FROM, MEDIA OUTLETS. ISCs shall not initiate or respond to any media inquiries about BWJ Network, its products, or their BWJ Network business. All media requests and related matters must be immediately referred to BWJ Network’s compliance department at support@bwjnetwork.com

10.              NO GOVERNMENT ENDORSEMENT. Neither federal nor state regulatory agencies nor officials approve or endorse any direct selling or network marketing companies or programs. ISCs shall not represent or imply that BWJ Network or its Compensation Plan have been approved, endorsed, or otherwise sanctioned by any government agency.

11.           COMPLIANCE WITH APPLICABLE LAWS.

  • ISCs must comply at all times with applicable federal, state and local law, including privacy, data protection, advertising, truth-in-marketing, and laws concerning unsolicited communications to potential customers or prospective sponsored ISCs, including without limitation, the CAN-SPAM Act.

  • Without limitation to the foregoing, ISC shall ensure that all emails sent by ISC that promote BWJ Network or any business opportunity in connection BWJ Network, or are otherwise sent with a commercial purpose, are sent only to recipients who have given prior informed consent to receive the same, and must include:

    • A valid return email address,

    • A clear, conspicuous opt-out notice allowing recipients to easily unsubscribe,

    • The ISC’s physical mailing address, an

    • Clear disclosures that the email is an advertisement.

Deceptive subject lines or header information are prohibited. All opt-out requests must be honored promptly and forwarded to BWJ Network. BWJ Network may send commercial emails on behalf of ISCs using their contact information, and ISCs must honor resulting opt-outs. Making unsolicited faxes and the use of artificial intelligence, robots, and/or auto-dialers are strictly prohibited.

12.           CHANGES TO ISC's SPONSORING ISC OR PLACEMENT GENERALLY PROHIBITED; CROSS-SPONSORING ALWAYS PROHIBITED.

  • An ISC may not change their sponsoring ISC without the prior written consent of BWJ Network, which it may withhold, condition or delay in its sole discretion. Any permitted change in an ISC’s sponsor cannot and shall not affect the ISC’s overall placement or position in the genealogy or organizational hierarchy of BWJ Network. Changes to an ISC’s sponsor or placement must be requested by ISC and ISC’s current sponsoring ISC in writing to BWJ Network via a sponsor change request form within seven (7) days from ISC’s date of enrollment. An ISC requesting a change in placement can only be moved inside of the same sponsor’s organizational hierarchy (e.g., the line of sponsorship, or “LOS”) and if the change request is approved, the ISC shall be placed in the first available open bottom position, as of the date the change is made. Additionally, ISCs who have earned commissions or achieved a higher rank in the Compensation Plan are not eligible to be moved.

  • The enrollment, whether direct or indirect, of any individual or entity that already holds or held an active customer number or ISC Agreement with BWJ Network within the preceding six (6) calendar months, into a different line of sponsorship (“Cross-Group Sponsoring”) is strictly prohibited. The use of a spouse’s or relative’s name, trade names, DBAs, assumed names, corporations, partnerships, trusts, Federal Tax Identification Numbers, or fictitious identification numbers to circumvent this policy is expressly prohibited.

13.           PRIVACY AND DATA MANAGEMENT; CONFIDENTIAL INFORMATION.  All ISCs are required to comply fully with BWJ Network’s Privacy Policy concerning the collection, use, and protection of LOS Information and customer information. This compliance is mandatory and ongoing. LOS Information is a trade secret and constitutes proprietary and confidential information ("Confidential Information"). BWJ Network exclusively owns all Confidential Information, which is developed, compiled, and maintained through significant investment of time, effort, and resources by BWJ Network and its ISCs. BWJ Network grants each ISC a personal, revocable, non-exclusive, and non-transferable right to use the Confidential Information solely to conduct their business activities as expressly permitted under this Agreement. ISCs shall maintain the confidentiality of all Confidential Information and shall implement reasonable administrative, technical, and physical safeguards to protect such information from unauthorized access, use, disclosure, alteration, or destruction. ISCs must not use, disclose, or distribute Confidential Information for any other purpose or to third parties without BWJ Network’s prior written consent. Any unauthorized use, disclosure, or misappropriation of Proprietary Information, including LOS data, is prohibited and may result in disciplinary action, including termination and legal recourse. ISCs agree to comply with all applicable data protection and privacy laws, regulations, and standards, including but not limited to the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR), and other relevant jurisdictional laws governing the collection, storage, processing, transfer, and disclosure of personal data. ISC shall promptly notify BWJ Network upon discovery of any unauthorized access, use, or disclosure of Confidential Information ("Data Breach") and shall cooperate in good faith to investigate, mitigate, and remedy the breach, including notifying affected individuals and regulatory authorities as required by law. The obligations under this provision shall survive termination or expiration of the ISC’s engagement with BWJ Network and shall remain in effect for a period of five (5) years, or as required by applicable law.

14.           OTHER PROHIBITED BEHAVIOR.

  • Purchasing an ITA solely for the purpose of collecting bonuses or achieving rank is unnecessary and strictly prohibited.

  • The unauthorized manipulation of the BWJ Network compensation system and/or the marketing plan in order to trigger commissions or cause a promotion off a downline IR in an unearned manner is referred to as “Stacking”, and Stacking is strictly prohibited. Stacking also includes (i) situations where a sponsor places a participant under an inactive downline participant (who may not know or have any relationship with the customers) in order to trigger unearned qualification for commissioning; and (ii) the manipulative placement of IRs within a downline organization in order to trigger a promotion. In the event BWJ Network discovers an instance of Stacking, BWJ Network may terminate the ISC Agreement of all individuals involved.

  • ISCs may not receive compensation, operate or have an ownership interest, legal or equitable, in or from more than one (1) BWJ Network marketing business. If an IR account is operated by more than one individual, (partners, shareholders, trustees, beneficiaries, family members, etc.) they will be recognized together, but will only be compensated as one IR.

    • For clarity, spouses (defined as spouses, domestic partners, common-law couples) may not receive compensation, operate or have an ownership interest, legal or equitable, in or from more than one (1) BWJ Network marketing business. Spouses who wish to have an IR account must be jointly sponsored as one BWJ Network ISC. Regardless of whether one or both are signatories to the ISC Application and Agreement, may not own or operate any other BWJ Network business, either individually or jointly, nor may they participate directly or indirectly (as a shareholder, partner, trustee, trust beneficiary, or legal or equitable owner) in the ownership or management of another BWJ Network business in any form.

    • Individuals of the same family unit may each enter into or have an interest in their own separate BWJ Network businesses, only if each subsequent family position is placed frontline to the first family member enrolled. A “family unit” is defined as spouses (jointly), dependent children and other family members living at or doing business at the same address.

    • If multiple members of a family unit hold separate ISC accounts with BWJ Network, each will be recognized and compensated individually for any club leader rank or achievement they personally reach. For example, if two family members become Club Leaders at different levels, each will receive recognition and compensation at their respective achievement level, not at the higher level combined. Awards or other incentives based on monthly income are given only to the ISC who personally meets the qualifying criteria. Other family members must meet these criteria independently to receive such awards.

  • ISCs may not, without the express prior written consent of BWJ Network (which it may withhold in its sole discretion), sell or transfer its ISC business (or any portion thereof), or its position in the genealogy or organizational hierarchy of BWJ Network.

  • “Bonus buying” is strictly prohibited under any circumstances. Any attempt to manipulate the compensation system through such means will be considered a serious violation of BWJ Network policy. This includes, but is not limited to, the following actions:

    • Enrolling individuals or entities as ISCs without their knowledge or without their signing a valid ISC Agreement;

    • Fraudulently enrolling individuals or entities as ISCs or customers;

    • Enrolling or attempting to enroll fictitious or non-existent individuals or entities as ISCs or customers, also known as "phantoms";

  • Purchasing BWJ Network products or services on behalf of another ISC or Customer, or using another ISC’s or Customer’s account or identification number, with the intent to qualify for commissions or bonuses.

  • Using any other method or scheme designed to artificially qualify for rank advancement, incentives, prizes, commissions, or bonuses that is not based on genuine product or service purchases by end-user consumers.

15.           SUCCESSION OF AN ISC's BUSINESS.  Upon the death of an ISC, their BWJ Network business may be transferred to a designated heir or heirs, provided the transferee obtains BWJ Network’s prior written consent. To complete the transfer, proper legal documentation must be submitted to BWJ Network. When a business is transferred via a will or testamentary process, the heir(s) will receive all bonuses and commissions from the deceased ISC’s marketing organization only if they meet the following criteria:

  • They execute a valid ISC Agreement with BWJ Network;

  • They comply with all terms of the Agreement;

  • They qualify for the same rank or status held by the deceased ISC;

  • They provide BWJ Network with an official “address of record” for payment of all bonuses and commissions.

Payments resulting from such transferred businesses will be made as a single deposit to the successor(s). If joint successors inherit the business, they must operate through a single business entity and possess one Federal Tax Identification Number. BWJ Network will issue all payments and tax documents (e.g., Form 1099) to this entity. If the deceased ISC conducted business through a legal entity, heirs must provide documentation showing their official ownership and control of that entity. If no business entity existed, the heirs are required to establish one with a Federal Tax Identification Number in order to continue operating the business.

16.           VIOLATION OF THESE POLICIES AND THE ISC AGREEMENT. Any violation of this Agreement, the Policies and Procedures, common law duties (including but not limited to any duty of loyalty), or any illegal, fraudulent, deceptive, or unethical conduct by an ISC may lead to disciplinary action at BWJ Network’s sole discretion. This includes conduct that may harm BWJ Network’s reputation or goodwill, regardless of whether it relates directly to the ISC’s BWJ Network business. Possible corrective actions include, but are not limited to:

  • Issuing a written warning or reprimand;

  • Requiring immediate corrective action by the ISC;

  • Imposing fines, which may be deducted from bonus or commission payments;

  • Withholding bonus or commission payments partially or wholly during investigation;

  • Suspension of the ISC Agreement for one or more pay periods;

  • Termination of the ISC Agreement;

  • Any other remedy allowed by the Agreement or deemed equitable by BWJ Network to address harm caused by the violation;

  • Initiating legal action to seek monetary damages or equitable relief.

All alleged violations will be reviewed individually. Disciplinary measures are at BWJ Network’s sole discretion based on the specifics of each case.

17.           MEDIATION AND ARBITRATION. Before starting arbitration, the parties must first try to resolve any dispute in good faith through non-binding mediation. The parties will mutually select one mediator to help facilitate resolution. The costs of the mediator and the mediation process will be split equally between the parties, and each party will pay its share at least 10 days before mediation. Each party is responsible for its own legal fees and other expenses related to the mediation. Mediation will take place in Atlanta, Georgia, and will last no more than two business days.

If mediation does not resolve the dispute, any remaining controversy or claim related to this Agreement will be settled by confidential arbitration following the American Arbitration Association’s Commercial Arbitration Rules. Arbitration will occur in Atlanta, Georgia, before one arbitrator—an attorney with business law expertise and preferably knowledgeable in direct selling—selected from the AAA panel.

Each party will bear its own arbitration costs, including legal and filing fees. The arbitrator’s decision will be final, binding, and may be entered as a judgment in any court with proper jurisdiction. By agreeing to arbitration, parties waive their rights to a jury trial or court litigation. This arbitration agreement remains effective even after the Agreement ends.

NO CLASS ACTION, OR OTHER REPRESENTATIVE ACTION OR PRIVATE ATTORNEY GENERAL ACTION OR JOINDER OR CONSOLIDATION OF ANY CLAIM WITH A CLAIM OF ANOTHER PERSON OR CLASS OF CLAIMANTS SHALL BE ALLOWABLE.

Nothing in these Policies and Procedures limits BWJ Network’s right to seek from any court with proper jurisdiction all available emergency or equitable relief, including writs of attachment, temporary or preliminary injunctions, permanent injunctions, or other remedies. BWJ Network may pursue such relief before, during, or after arbitration or any legal proceeding, and while awaiting any decision or award in such proceedings, to protect its interests.

18.           GOVERNING LAW; JURISDICTION AND VENUE. Jurisdiction and venue of any matter not subject to arbitration shall reside exclusively in Nevada. The Federal Arbitration Act shall govern all matters relating to arbitration. The laws of Nevada shall govern all other matters relating to or arising from the Agreement. Notwithstanding the foregoing, and the arbitration provision in this Agreement, residents of the State of Louisiana shall be entitled to bring an action against BWJ Network in their home forum and pursuant to Louisiana law.

19.           ETHICS. Every ISC is expected to: (i) Treat everyone with respect while conducting BWJ Network business; (ii) Conduct all business ethically, legally, and responsibly; (iii) Avoid actions that could harm the reputation of BWJ Network, its officers, employees, or other ISC; (iv) Refrain from making negative or disparaging remarks about fellow BWJ Network ISCs or engaging in slander; (v) Support and encourage customers and downline for a positive BWJ Network experience, including timely follow-up and service; and (vi) comply with all BWJ Network Policies & Procedures, including future amendments.

20.           MISCELLANEOUS.

  • The provisions of these Policies are severable and theinvalidity of any one provision shall not affect the validity of any otherprovision.

  • The failure of BWJ Network to enforce any provisions of these Policies shall not be deemed a waiver or limitation of BWJ Network’s right to subsequently enforce and compel strict compliance with every provision of these Policies.

  • The headings in these Policies are inserted for convenience only and shall not affect the construction of these Policies.

  • These Policies and all claims or causes of action arising hereunder shall be governed by and construed in accordance with the laws of the State of Nevada, excluding its conflicts of law provisions, and, in the event of a dispute arising under or in connection with these Policies (or the Agreement), and ISC and BWJ Network hereby submit to the exclusive jurisdiction in the federal or state courts in Clark County, Nevada, and agree that venue is proper and convenient in such forum.

  • This Agreement may be executed by electronic signature, which shall be deemed as valid, binding, and enforceable as an original handwritten signature. Delivery of a signed copy by electronic means (such as email, PDF, or electronic signature platform) shall have the same legal effect as delivery of a manually executed original. The parties consent to the use of electronic signatures and records in connection with this Agreement to the fullest extent permitted by applicable law, including the ESIGN Act and the Uniform Electronic Transactions Act.
